Welcome to Zaya Voice. These Terms of Service ("Terms") govern your access to and use of the Zaya Voice website, platform, and AI receptionist services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering for or using Zaya Voice, you agree to comply with and be bound by these Terms. If you are using the Services on behalf of a medical practice or other organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Zaya Voice provides an AI-powered voice assistant designed for medical practices to handle administrative tasks such as answering calls, verifying patient information, and scheduling appointments via integration with Electronic Medical Records (EMR) systems.

Critical Disclaimer: Zaya Voice is an administrative tool. It does not provide medical advice, diagnosis, or treatment. It is not designed to handle medical emergencies. You agree to maintain a protocol for callers experiencing medical emergencies (e.g., instructing them to hang up and dial 911).

3. HIPAA and Data Privacy

We understand the sensitivity of the data processed through our Services. Zaya Voice acts as a "Business Associate" under HIPAA regulations. Your use of the Services involving Protected Health Information (PHI) is governed by the Business Associate Agreement (BAA) entered into between Zaya Voice and your organization, in addition to these Terms.

4. User Responsibilities

You agree to:

Provide accurate and current information during the onboarding process.
Maintain the security of your account credentials.
Ensure that your use of the Services complies with all applicable laws, including patient privacy laws and telecommunications regulations (e.g., TCPA).

Verify the accuracy of appointments scheduled by the AI within your EMR system.

5. Accuracy of AI

While we strive for high accuracy, Zaya Voice utilizes artificial intelligence technology which may occasionally misinterpret caller intent or data. You acknowledge that the Services are provided "as is" and that human oversight is recommended to ensure the accuracy of critical scheduling data.

6. Intellectual Property

The Services, including the underlying software, AI models, algorithms, and content, are the exclusive property of Zaya Voice and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business operations.

7. Subscription and Billing

Fees for the Services are set forth in your service agreement or order form. You agree to pay all applicable fees in accordance with the billing terms. Failure to pay may result in the suspension or termination of your access to the Services.

8. Limitation of Liability

To the maximum extent permitted by law, Zaya Voice shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services constitutes acceptance of such changes.
